Facility Rental Agreement II

 

This Facility Rental Agreement (this “Agreement”) is made effective _____________ (Concert’s Date), by and between the XXXXXXXX (the” promoting church”) and W. I. T. W., Inc.(the “client”).

1. Description of Services.   For the purpose of a benefit concert for_____________________________  _______________________ the client will rent out the promoting church, located at [address], for the following date(s) and time(s): ______________________________________________.

2. Rental Agreement. The client will pay to the promoting church the amount specified in the (Artist’s Contract and the Facilities Use Rules & Guidelines(FURG)) and all other direct expenses, including but not limited to advertising, promotion, printing, and utilities, incurred by the promoting church directly associated with the above named benefit concert.  The payment for said expenses is due and payable as they are incurred by the promoting church.  The promoting church’s expenses associated with the FURG are due and payable the day of the benefit concert.  Any unpaid balance, arising out of contingencies, is due and payable within 10 business days after the date of rental.

3. Term/Termination. This Agreement shall terminate automatically on ______________ [Date and Time].

4. Relationship of the Parties. It is understood by the parties that the client is a customer and not an employee of the promoting church.

5. Indemnification. The client agrees to indemnify and hold the church harmless from all claims, losses, expenses, fees including attorney fees, cost, and judgments that may be asserted against the promoting church that result from the sole negligence of the client’s employees, volunteers, and/or agents.

6. Insurance:  The client will provide Public Liability Insurance coverage with a $1,000,000. combined single limit.  Said coverage will include hosting church as an additional insured as respects this agreement.

7. Commitments. The promoting church will provide a clean and ready space, use of existing store fixtures, sound board operations, door collection, and a on duty management (Management is responsible for the safety of the event.   Any assistance in event coordination, room design, sound checks, and/or labor, is strictly by volunteer basis only.)  Except as noted herein, the promoting church does not supply any extra sound/lighting equipment, store fixtures, technical support, and/or food/beverages unless agreed to by amendment to this agreement.

8. Serverability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
